Corporate M&A Mid-Level Associate

We are seeking a mid-level associate corporate attorney with substantial M A experience for any of our offices in the Bay Area (Silicon Valley or San Francisco), Seattle, Santa Monica, New York or Boston. Role Responsibilities • Lead and support domestic and cross-border M A transactions, including asset and stock purchases, mergers, joint ventures, and strategic investments. • Draft, review, and negotiate transactional documents such as purchase agreements, disclosure schedules, closing documents, and ancillary agreements. • Manage and coordinate due diligence processes, prepare and analyze diligence materials, and summarize key issues for clients. • Advise clients on deal structure, risk allocation, regulatory considerations, and corporate governance implications. • Work closely with tax, IP, employment, and regulatory specialists to address transaction-related issues and coordinate cross-functional teams. • Help manage transaction timelines and closing logistics, including preparing checklists and coordinating with external counsel and advisers. • Supervise and mentor junior associates and paralegals, delegating tasks and providing constructive feedback on work product. • Contribute to client relationship management and business development activities, including drafting pitch materials and attending client meetings. QualificationsRequired • 3–5 years of M A experience at a leading corporate law firm. • Admission to the bar in the jurisdiction where you intend to work, or eligibility to waive into the bar within 3–6 months (sitting for the bar exam is not supported). • Superior academic credentials. • Excellent oral, written, and interpersonal skills. Preferred • Experience with, or an affinity for, technology and/or life sciences companies. • Experience working on matters for emerging growth or high-growth clients.
